Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Elevator360 ("we", "our", or "us") governing your access to and use of the Elevator360 platform and related services (collectively, the "Service").

By creating an account, clicking 'I agree', or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must not use the Service.

2. Definitions

  • "Platform" means the Elevator360 web application, APIs, and any associated tools or integrations.
  • "Account" means a registered user account on the Platform.
  • "Subscription" means a paid plan that grants access to one or more features of the Platform.
  • "User Data" means all data that you or your authorised users enter into or generate within the Platform.
  • "Authorised Users" means employees, contractors, or agents you permit to access the Service under your Account.

3. Account Registration

To use the Service, you must register for an Account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Promptly notifying us of any unauthorised access or security breach
  • Ensuring your Account information is kept up to date

You must not share your Account credentials with third parties outside your organisation or create Accounts for the purpose of circumventing usage limits.

4. Subscription and Billing

Plans and Fees

Access to paid features requires an active Subscription. Subscription fees are charged in advance on a monthly or annual basis, as selected during purchase. All fees are exclusive of applicable taxes unless stated otherwise.

Payment

You authorise us (or our payment processor) to charge your designated payment method for all fees due. If a payment fails, we will attempt to notify you and may suspend access to the Service until the outstanding amount is settled.

Cancellation and Refunds

You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no pro-rated refunds are issued for unused time unless required by applicable law. Annual subscriptions cancelled within 14 days of the initial purchase date are eligible for a full refund.

Price Changes

We reserve the right to change subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in any way that violates applicable local, national, or international law or regulation
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any portion of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what is permitted by our API
  • Resell or sublicense access to the Service without our written consent
  • Use the Service to store or transmit malware, ransomware, or other malicious code
  • Impersonate any person or entity or misrepresent your affiliation

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating accounts without notice.

6. Intellectual Property

Our Property

The Service, including its software, design, text, graphics, and all other content, is owned by Elevator360 or its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service solely for your internal business operations during your Subscription period.

Your Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a royalty-free, worldwide licence to use that feedback without restriction or compensation to you.

7. Data Ownership and Privacy

You retain full ownership of all User Data you upload or create within the Platform. We process your User Data solely to provide the Service and as described in our Privacy Policy.

  • You grant us a limited licence to host, store, and process User Data as necessary to operate the Service
  • We will not access your User Data except to provide support, ensure platform security, or as required by law
  • Upon account closure, you may request an export of your User Data before deletion
  • User Data is deleted within 90 days of account closure unless a longer retention period is required by law

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, which we will endeavour to carry out during off-peak hours with advance notice.

We are not liable for any downtime caused by circumstances beyond our reasonable control, including but not limited to third-party infrastructure failures, internet outages, or force majeure events.

9. Termination

By You

You may terminate your Account at any time by cancelling your Subscription through your account settings or by contacting us. Termination does not entitle you to a refund except as described in Section 4.

By Us

We may suspend or terminate your Account immediately if you:

  • Breach any provision of these Terms
  • Fail to pay subscription fees after a reasonable cure period
  • Use the Service in a way that poses a security risk or legal liability to us or other users
  • Become subject to insolvency proceedings

Upon termination, your licence to use the Service ends. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law sections) will continue to apply.

10. Disclaimers and Limitation of Liability

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

Limitation of Liability

To the fullest extent permitted by law, Elevator360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you to Elevator360 in the three months preceding the event giving rise to the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Send an email notification to account holders at least 14 days before changes take effect
  • Display an in-platform banner for significant updates

Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the new Terms, you must stop using the Service and cancel your Subscription before the effective date.
